Anthropic Files Confidential S-1 for Potential IPO
The artificial-intelligence company submitted its first formal SEC filing Monday, days after raising $65 billion at a $965 billion valuation. The move follows rapid revenue growth and positions Anthropic ahead of OpenAI in the race toward public markets.
The VergeAnthropic filed a confidential registration statement with the U.S. Securities and Exchange Commission on Monday, marking the first formal step toward a possible public offering. The filing comes days after the company completed a $65 billion Series H round that valued it at $965 billion on a post-money basis. That figure exceeds OpenAI’s last reported valuation of $852 billion.
Anthropic’s annualized revenue run rate reached $47 billion in May. The company was founded in 2021 and is led by CEO Dario Amodei and co-founder Daniela Amodei. Investor demand for the May financing round was described as intense. The company published a blog post announcing the confidential filing.
A confidential S-1 can be withdrawn at any time and does not guarantee an offering. Anthropic has not disclosed a target date or offering size. The filing signals the company’s intent to reach public markets, though timing remains uncertain. Reports indicate competition for Anthropic shares in secondary markets has been strong.
