Securitisation of Subscription Finance Receivables Links Private Capital Calls to Public Markets

Subscription finance, a form of lending to private equity and venture capital funds, relies on future capital calls from investors to repay loans. These receivables represent commitments by limited partners to contribute capital when funds issue calls. Securitisation transforms these receivables into marketable securities, allowing funds to tap into capital markets for liquidity.

In this process, originators pool subscription finance loans and transfer them to a special purpose vehicle. The vehicle issues asset-backed securities backed by the expected cash flows from capital calls. Investors in these securities receive payments as capital calls are met by the funds' investors.

The market for securitised subscription finance has expanded since its emergence in the mid-2010s.

According to Reuters, issuance volumes reached approximately $10 billion in 2022, up from $2 billion in 2019. Major participants include banks such as Deutsche Bank and credit funds like Golub Capital, which originate the underlying loans. U.S.

Securities and Exchange Commission, govern these transactions to ensure transparency and investor protection. Ratings agencies like Moody's and S&P assess the credit quality of the securities based on factors such as investor commitment reliability and fund performance histories.

Securitisation offers private funds diversified funding options, reducing dependence on bank credit lines.

It also enables investors to gain exposure to private market cash flows through more liquid instruments. However, risks include potential delays in capital calls due to economic downturns or investor defaults. The structure typically features tranching, where senior tranches receive priority payments and offer lower yields, while junior tranches absorb losses first for higher potential returns.

As of 2023, Reuters reported that outstanding securitised subscription finance reached over $15 billion, reflecting sustained interest amid rising private market assets under management exceeding $10 trillion globally. Looking ahead, market participants anticipate further growth if interest rates stabilise and private equity fundraising continues.

This could lead to increased standardisation in deal structures and broader investor participation from insurance companies and pension funds.

Ongoing monitoring by regulators will shape the evolution of this financing tool.
