GoDaddy Inc. reported the election of one new board member and the departure of another at its 2026 annual meeting of stockholders held June 4, according to an 8-K filed with the SEC on June 5.

The company disclosed results under Item 5.07 for the seven director nominees put to a vote. All nominees received majority support. One new independent director joined the board while six incumbents were re-elected. Under Item 5.02 the filing notes the associated departure of the outgoing director, effective June 4 upon conclusion of the meeting.

No cause for the departure or any disagreement with the company was cited.

The election resets the composition of GoDaddy's board to eight directors. The new director assumes all standard responsibilities and committee assignments that the board may determine in the coming weeks. The change takes effect immediately. GoDaddy must now file a Form 4 reflecting any initial stock ownership by the new director within two business days of the election and update its proxy-statement biographies and committee charters in subsequent SEC filings.

Downstream, the board composition update requires GoDaddy to reflect the change in its next quarterly report or proxy statement. The new director becomes subject to the company's insider-trading policy, Section 16 reporting obligations, and stock ownership guidelines that apply to all non-employee directors.

Any committee reassignments must be disclosed in a subsequent 8-K or in the company's next proxy statement ahead of the 2027 annual meeting.

This marks the regular annual board refresh for the internet-services company. The filing also included Item 9.01 exhibits containing the press release and voting results. GoDaddy last reported a similar board transition cycle in its 2025 proxy statement.
