The SEC filed the lawsuit in early 2025, days before Donald Trump took office in January 2025. The suit concerned Musk's failure to disclose his growing stake in Twitter to public investors in a timely manner in 2022. The SEC argued that the failure saved Musk $150 million.
Musk reached the settlement with the SEC in May 2026. Under its terms, a trust in his name would pay the $1.5 million penalty without admitting wrongdoing. Sooknanan previously questioned whether Musk was receiving special treatment from the Trump administration.
Musk helped to bankroll Trump's 2024 presidential campaign. In her opinion, Sooknanan wrote that her court was limited to evaluating whether the proposed consent judgment meets minimum standards of fairness and reasonableness, or whether it makes a mockery of judicial power.
Although the Court has significant misgivings about the settlement reached in this case, it cannot say that the settlement meets that high threshold, she stated.
